Movie Production Agreement
This Movie Production Agreement is entered on the day which this contract is agreed to between BMWC Media, 14202 Preston Road, Ste 404-385, Dallas, Texas, 75254 (“Producer”), and the client, for the production of a Video, tentatively entitled Black Men In White Coats Short Documentary(“Project”), under the following terms and conditions:
| 1. | Description of Project |
BMWC Media will travel to the client’s location and document the events and happenings of each subject throughout an entire day. The end product will be consists of two 4-6 minute videos featuring black male clinicians selected by the client institution..
| 2. | Production Specifications |
The Project will be produced in color, using both studio and location recording techniques. Location shooting for the program will take approximately 2 days and will require travel to the selected located needed for documentary depiction. On completion,
| 3. | Budget |
The total budget for the production of the Project is $20,000. Producer will have full authority to apportion the total budget, as Producer sees fit.
| 4. | Script |
Producer will be responsible for preparing and revising all drafts of the script for the Project. Producer will submit the first draft of the script to Client no later than January 10, 2020. Client will complete review of the script no later than 2 weeks after receiving it and will either accept it or return it to Producer with suggested revisions. The parties will consider the revisions and agree on the likely number of additional drafts, if any, and on a schedule for the submission of those drafts. Client will not unreasonably withhold final approval of the script and Producer will not unreasonably resist making changes suggested by Client.
| 5. | Date of Delivery |
Producer will deliver the completed Project, as specified in throughout this Agreement, to Client no later than 4 months after the date the Client gives final approval of the script. Delivery will be by Downloadable Electronic File.
| 6. | Ownership of Rights in Project |
Client and BMWC Media will be co-owners of the completed project (exluding raw footage). Client will own all of the property rights to the raw footage acquired for this project. Client and BMWC media agree that once the final videos have been approved, no further changes and/or alternate versions of the videos can be made and/or distributed without the written consent of BMWC media. Client agrees that the edited and/ or raw footage from this project may be combined by BMWC with other videos in the BMWC series to create a longer form BMWC video.
| 7. | Credits |
Client agree that the videos must include the phrase ” Black Men In White Coats is Presented by Diverse Medicine in partnership with the client.
| 8. | Right to Enter Project in Competitions |
Both Producer and Client will have the right to enter the Project in competitions for awards anywhere in the world. However, both parties are prohibited from submitting the Project in any competition without first notifying the other party of its intention to do so.

| 10. | Dealings with Third Parties |
Producer will arrange for all permits, releases, licenses, national clearances for the use of copyrighted material, third party contracts, and similar matters, including but not limited to the payment of fees and compensation, within the budget specified by Client in Compensations. Producer will not include any material or sources in Project that might in any way interfere with distribution of the Project or infringe on any standard copyrights.
| 11. | Additional Services |
Producer will not be responsible under this Agreement for any services related to the development of publicity, merchandising, distribution, or other similar campaign to promote the Project. Client will contract separately for these services with Producer or a third party. If Client enters into an agreement for these services with a third party who requires materials or incidental services from Producer, Producer will be entitled to charge standard fees for those materials or services.
| 12. | Termination |
Either party may terminate this Agreement on 7 days written notice to the other party at the address set forth at the beginning of this Agreement. If Client terminates this agreement, Producer will be entitled to reasonable compensation for services rendered through the date of termination.
| 13. | Arbitration |
Any disputes that may arise between Client and Producer regarding the terms of this Agreement will be submitted to final and binding arbitration in accordance with the applicable state statutes. The arbitrator’s award will be final and binding on the parties, and judgment may be entered on it by a court of competent jurisdiction.
| 14. | Notice |
All notices to the parties will be in writing and will be sent to the address of the party stated in the beginning of this agreement.
| 15. | Integration Clause |
This document contains the entire agreement between Client and Producer and cannot be changed orally, but only by a written agreement signed by both parties.
| 16. | Severability of Invalid Provisions |
If any provision of this agreement is deemed unenforceable, that provision will be omitted only to the extent necessary to make this agreement valid and enforceable, and the remaining provisions will remain in full force and effect.
| 17. | Attorneys’ Fees |
If any action at law or in equity is brought to enforce or interpret the provisions of this Agreement, the prevailing party will be entitled to reasonable attorneys’ fees in addition to any other relief to which that party may be entitled.
| 18. | Governing Law |
This agreement will be governed in all respects by the law of the State of Texas.
